Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, including our various websites, APIs, email notifications, and applications (the "Services" or "Unreal Cloud"), and any information, text, graphics, photos or other materials uploaded, downloaded or appearing on the Services (collectively referred to as "Content").

As a customer of this service you're a "User" or "You" according to this agreement. Your access to and use of the Services are conditioned on your acceptance of and compliance with these Terms. By accessing or using the Services you agree to be bound by these Terms.

We may update these Terms from time to time. If a change is material, we will notify you at least 14 days before it takes effect, by email to your account address or by prominent notice within the Services. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and cancel your account before they take effect. Violation of any of the terms below may result in the termination of your Account.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. The Services are not directed to children, and you may not use the Services on behalf of a child under 16.

General Conditions

  1. The service is provided on an "as is" and "as available" basis.
  2. Technical support is only provided via email.
  3. You understand that we use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
  4. You must not attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, or any other means. You must not probe, scan, or test the vulnerability of the Service, interfere with its operation, or circumvent any security or authentication measures.
  5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by us.
  6. We may, but have no obligation to, remove content and accounts that we determine in our sole discretion are unlawful or violates any party's intellectual property or these Terms of Service.
  7. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Service customer representative will result in immediate account termination.
  8. We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other Service customers. Of course, we'll reach out to the account owner before taking any action except in rare cases where the level of use may negatively impact the performance of the Service for other customers.
  9. We do not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
  10. The failure of us to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and us and govern your use of the Service, superseding any prior agreements between you and us (including, but not limited to, any prior versions of the Terms of Service).

Your Content and Intellectual Property

  1. You retain all ownership rights to the Content you upload to or create through the Services. We claim no intellectual property rights over your Content.
  2. By uploading Content, you grant Unreal Cloud a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your Content solely as necessary to provide, maintain, and improve the Services. This license ends when your Content is deleted from the Services.
  3. The Services themselves, including all software, design, text, and graphics (excluding your Content), are and remain the exclusive property of Unreal Cloud and its licensors.
  4. You represent and warrant that you own or have the necessary rights to the Content you upload, and that your Content does not infringe the rights of any third party.

Data Retention

  1. Build artifacts. Artifacts produced by a build are retained for 30 days after the build finishes, after which they are automatically and permanently deleted, regardless of your subscription status. It is your responsibility to download any artifacts you wish to keep within this window.
  2. After cancellation. Retention of your account data following cancellation or termination is described in Cancellation and Termination.

We respect the intellectual property of others. If you believe that material on the Services infringes your copyright, send a notice to support@unrealcloud.io including: (i) identification of the copyrighted work, (ii) identification of the allegedly infringing material and its location, (iii) your contact information, (iv) a statement that you have a good faith belief the use is not authorized, and (v) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf. We may remove allegedly infringing material and may terminate the accounts of repeat infringers.

Modifications to the Service and Prices

  1. We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, any part of the Service with or without notice.
  2. Prices of all Services are subject to change upon 30 days notice from us. Notice will be provided by email to the account owner and by posting the changes to the Unreal Cloud site or the Service itself.
  3. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service, except as expressly provided in these Terms.

Payment, Refunds, and Billing

  1. The Service is offered with no free trial. You will only be able to use the Service by paying your due receipt. If you fail to pay, your organization will be frozen and inaccessible until payment is made.
  2. Recurring billing authorization. By providing a payment method, you authorize us (through our payment processor, Stripe) to charge that payment method on a recurring basis, at the start of each billing cycle, for your subscription fees and applicable taxes, until you cancel your subscription. You are responsible for keeping your payment information current.
  3. Renewal reminders. For annual subscriptions, we will send a reminder email at least 30 days before your renewal date. To avoid being charged for the next billing cycle, you must cancel before the cycle begins.
  4. Refunds. There will be no refunds or credits for partial months of service, except (i) where we terminate your account without cause (see Cancellation and Termination), or (ii) where required by applicable law. This no-refund policy is disclosed before purchase.
  5. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of these amounts.
  6. If you switch a plan to another one with different billing cycle (e.g., from a monthly plan to a yearly plan), the billing date becomes the date of the switch. By default, Unreal Cloud prorates subscription costs in this case.
  7. Chargebacks. If you believe a charge is incorrect, contact us at support@unrealcloud.io before disputing it with your card issuer, and we will work with you in good faith to resolve it. If you initiate a chargeback, we may suspend your account while the dispute is pending. For chargebacks determined to be illegitimate, we reserve the right to recover the disputed amount and any dispute fees charged to us, and to refuse future service.

Cancellation and Termination

  1. You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by visiting your organization's billing page.
  2. If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately, and you will not be charged again.
  3. Data retention after cancellation. Upon cancellation, your data becomes inaccessible from the Service. We retain your data for 30 days following cancellation, during which you may contact support@unrealcloud.io to request an export or to reactivate your account. After 30 days, your data is permanently deleted and cannot be recovered.
  4. We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service if you breach these Terms. We may also terminate your account without cause upon 30 days notice; in that case, we will refund you, pro rata, any prepaid fees covering the period after termination. The 30-day data retention period in the previous clause applies to any termination.
  5. We will terminate your account if it becomes inactive (6 months without logging in). We will attempt to notify you several times before this occurs.

Account Registration and Passwords

  1. You may be required to create an account with Unreal Cloud in order to access certain Services. It is a condition of your use of the Services that all the information you provide on the Services is correct, current and complete. We reserve the right to disable any user account if, in our opinion, you have failed to comply with any provision of these Terms.
  2. You are responsible for maintaining the security of your account and password. Unreal Cloud cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation. You agree to notify Unreal Cloud immediately at support@unrealcloud.io of any actual or suspected unauthorized use of your account or any other breach of security known by you.
  3. Your login may only be used by one person - a single login shared by multiple people is not permitted. You may create separate logins for as many people as you'd like, and invite logins into a team to manage shared resources.
  4. You may not use the Service for any illegal purpose or to violate any laws in your jurisdiction (including but not limited to copyright laws).

API Terms

Users may access their Service data via the Application Program Interface ("API"). Any use of the API, including use of the API through a third-party product that accesses the Service, is bound by the terms of this agreement plus the following specific terms:

  1. You expressly understand and agree that, subject to the Limitation of Liability section below, we shall not be liable for any damages or losses resulting from your use of the API or third-party products that access data via the API.
  2. Abuse or excessively frequent requests to the Service via the API may result in the temporary or permanent suspension of your account's access to the API. We, in our sole discretion, will determine abuse or excessive usage of the API. We will make a reasonable attempt via email to warn the account owner prior to suspension.

Limitation of Liability

  1. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
  2. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amounts you paid to Unreal Cloud in the 12 months preceding the event giving rise to the claim.
  3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, intentional fault, or bodily injury, or your rights as a consumer under mandatory consumer protection legislation.

Indemnification

You agree to indemnify, defend, and hold harmless Unreal Cloud and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) your Content; (ii) your use or misuse of the Services; (iii) your violation of these Terms; or (iv) your violation of any applicable law or the rights of a third party.

Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
  2. Arbitration. Except where prohibited by applicable law, any dispute arising out of or relating to these Terms or the Services shall be resolved by final and binding arbitration administered in the Province of Quebec, in English or French, by a single arbitrator, rather than in court. Either party may bring individual claims in small claims court where eligible.
  3. Class action waiver. Except where prohibited by applicable law, disputes shall be resolved on an individual basis only, and you waive any right to participate in a class, collective, or representative action.
  4. If you are a consumer within the meaning of applicable consumer protection legislation (including the Quebec Consumer Protection Act), nothing in this section deprives you of rights or remedies that such legislation grants you and that cannot be waived by contract, including, where applicable, the right to bring proceedings before a court.
  5. For any dispute not subject to arbitration, the courts of the Province of Quebec shall have exclusive jurisdiction.

Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental action, internet or utility failures, or failures of third-party hosting or infrastructure providers.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Privacy

  1. Any information that you provide to Unreal Cloud is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States for storage, processing and use by Unreal Cloud.
  2. As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your Unreal Cloud account, which you may not be able to opt-out from receiving. Marketing communications always include an opt-out.
